# How to Read a Real Estate Purchase Agreement: companion files

Julian R. Sterling

## What is here

- **Purchase_Agreement_Model.xlsx**: the workbook that rebuilds the Larkspur Commerce Center case and reproduces every figure in the book with live formulas. Sheets: README, Checks, Inputs, RentRoll, Timeline, AtRisk, ReTrade, Claim, Prorations, Closing, Casualty_Remedies, Exchange_Tax, Cases.
- **Purchase_Agreement_Abstract.docx**: the abstract of Appendix A and the forty red flags of Appendix B, in editable form, with a line for your own contract under each field.

## Which sheet answers which chapter

- Chapters 1 and 6: RentRoll
- Chapters 2 and 16: Timeline and Exchange_Tax (business-day rule, 45 and 180 day deadlines)
- Chapters 3 and 4: AtRisk
- Chapter 7: ReTrade
- Chapters 8 and 9: Claim
- Chapter 12: Prorations
- Chapter 13: Closing (buyer's and seller's statements, funds flow)
- Chapters 14 and 15: Casualty_Remedies
- Appendix C: Cases

## Two switches to change first

1. On the Claim sheet, set "Buyer knew from the estoppel" to 0: the Corvid claim, measured as the present value of the shortfall, recovers 97,586 after the deductible basket. Then set the basket type (Inputs) to 0, a tipping basket: it rises to 172,586. Reset both.
2. Closing day (Inputs): set "Buyer owns the closing day" to 0. Every proration moves by one day and the cash due at closing changes. Reset it to 1.

Blue type is an input, black type a formula. No macro, no circular reference, no external link. The Checks sheet should read ALL CHECKS OK on the default inputs.

Larkspur Commerce Center, its seller, buyer, tenants and lender are fictional; all case figures, including transfer tax rates, title premiums and cost allocations, are illustrative assumptions. Provided as is, without warranty. Not legal, tax, accounting or investment advice.
